The newly-formed “National Association of Nonprofit Organizations and Executives” (NANOE) says that traditional board principles (as espoused by Board Source) are idealized, foster governance dysfunction, and are ineffective for nonprofits exceeding $1 million in annual revenue.  NANOE proposes a stronger CEO function while restricting the board’s scope for efficiency and effectiveness.  This webinar will suggest healthy ways to redefine the relationship between the CEO and the Board, freeing the CEO for appropriate decision making authority without surrendering to the conflict of interest and lack of oversight that comes through the NANOE approach.

  • The relationship and respective duties between the CEO & the Board need not be hierarchical or competitive.  Roles can be collegial, clearly defined, and complementary.
  • An independent Board Chair function is essential to accountability, independent oversight and effective governance.
  • Boards can create comprehensive accountability and big picture oversight while empowering the CEO fully for operational decision making and strategic decision making.
  • Boards can easily move toward dysfunction, but vigilance in focus is preferable to abdicating responsibility.
